Terms of service
These terms are an agreement between you and Codira, Inc. (“Codira”, “we”, “us”) and govern your use of CodiraID, including codiraid.com and app.codiraid.com (the “Service”). By creating an account or using the Service, you agree to these terms and to our privacy policy. If you use the Service for an organization, you confirm that you can bind it to these terms.
1. Access during private development
The Service is in private development and available only to people Codira invites. Features may change, be incomplete or be removed, and the Service may be unavailable at times. We may end an invitation at any time. There is no charge for access during this period; if we introduce paid plans, we will tell you the price before any charge applies.
2. Your account
You must be at least 18 and give accurate account information. You are responsible for keeping your password and two-step sign-in device secure and for everything done through your account. Tell us promptly at hello@codira.com if you believe your account has been compromised.
3. Your content
You keep ownership of everything you put into the Service, including your record, documents, drafts and published content (“Your Content”). You give Codira a limited permission to host, process, copy and transmit Your Content only as needed to operate the Service for you, including sending content to the platforms you choose. That permission ends when you delete the content or your account, except for copies we must keep by law or that remain in backups for a limited time.
You confirm that you have the rights needed to upload Your Content and to publish it where you direct, and that it is accurate to the best of your knowledge.
4. Acceptable use
CodiraID exists to help people present an accurate, verifiable record of their work. You agree not to use it to:
- impersonate anyone, or publish content that falsely claims to come from an independent person or organization;
- create fake reviews, endorsements, testimonials, accounts or engagement;
- publish statements you know to be false, or content that is defamatory, harassing or unlawful;
- post duplicated material across sites to manipulate search results, or otherwise break the rules of search engines or the platforms you publish to;
- collect information about other people beyond what the Service shows you for monitoring your own reputation;
- infringe anyone’s intellectual property or privacy rights;
- interfere with the Service, probe it for vulnerabilities without our written permission, or access it by automated means other than the features we provide.
We may remove content or suspend accounts that break these rules.
5. AI-assisted features
Some features use artificial intelligence to suggest drafts, check sources, adapt content and classify mentions. These suggestions can be wrong or incomplete. You are responsible for reviewing anything before you approve it, and the Service does not publish anything without your approval. Classifications such as sentiment are estimates, not findings of fact.
6. Connected platforms
When you connect a third-party account such as Google, LinkedIn, X or Meta, your use of that platform remains subject to its own terms and policies. We are not responsible for those platforms, for changes to their services or programming interfaces, or for their decisions about your content or account. A submission accepted by a platform or distribution service is not a guarantee that it will be published, shown to anyone, or covered by the press.
7. No guaranteed outcomes
The Service helps you publish and measure. It does not and cannot guarantee search rankings, the appearance or content of a knowledge panel, media coverage, the removal or correction of content published by others, or any particular business result.
8. Legal matters
The Service is a tool and does not give legal advice. If a matter involves potential litigation, defamation or other legal questions, consult your own lawyer before acting.
9. Ending your use
You can stop using the Service and close your account at any time. We may suspend or end your access if you break these terms, if required by law, or if we discontinue the Service, and where reasonable we will give you notice and a chance to export Your Content first. Sections that by their nature should survive termination will survive.
10. Disclaimers
The Service is provided “as is” and “as available”. To the extent the law allows, Codira disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the Service will be uninterrupted, error-free or secure.
11. Limitation of liability
To the extent the law allows, Codira will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Codira’s total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim and one hundred US dollars.
12. Indemnity
You agree to defend and indemnify Codira against claims arising from Your Content or from your breach of these terms, except to the extent the claim results from Codira’s own wrongdoing.
13. Governing law
These terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules, and disputes will be heard in the state or federal courts located in Maricopa County, Arizona.
14. Changes to these terms
We may update these terms. If a change is material, we will notify account holders before it takes effect. Continuing to use the Service after that means you accept the updated terms.
15. Contact
Questions about these terms can be sent to hello@codira.com or to Codira, Inc., 6166 North Scottsdale Road, C4003, Paradise Valley, AZ 85253, United States.
